  • Responsibilities

    • Act as a subject matter expert and resource on issues relating to free/open source licenses, common OSS licensing issues, compliance and best practices
    • Provide proactive counsel on a broad range of legal, regulatory and policy issues, including, export, intellectual property, and data privacy laws, regulations, and industry best practices, particularly related to software and cloud services
    • Partner with members of the legal team, engineering team, and outside counsel to help ensure SolarWinds’ compliance with free/open source, intellectual property, and privacy laws, regulations, and contracts
    • Assist in developing training materials, and providing training to employees on free/open source and intellectual property matters
    • Assist in developing and maintaining SolarWinds’ privacy program and related policies, procedures, documentation, and communication materials
    • Draft, review, negotiate and advise on a variety of complex commercial and technology transaction contracts, including a heavy volume of software license/SaaS agreements, partner agreements, reseller and OEM agreements, particularly in regard to intellectual property, privacy, and export laws, regulations, and industry best practices

    Qualifications

    • 3+ years of relevant legal experience advising on technology and open source software (OSS) related issues, providing practical legal advice, negotiating and drafting technology transactions
    • Experience with technology, cloud services, marketing and analytics laws and regulations
    • Excellent negotiation skills
    • Ability to work and lead under pressure unruffled, exhibiting timely and quality decision making
    • Exceptional written, oral and interpersonal communication skills, capable of quickly gaining the respect of and interacting comfortably with and successfully collaborating with and influencing senior leaders
    • Strong work ethic, a self-starter, action-oriented and ensures accountability

    Preferences: 

    • Technical background (formal or informal) a plus but not required
    • Prefer experience with intellectual property matters, including trademark and copyright prosecution and litigation preferred
    • Prefer expertise in global data protection law, including knowledge of the GDPR and national data protection laws
